PARTNERSHIP AGREEMENT

SCOPE OF PARTNERSHIP

The Carrier hereby appoints Routehaul High Desert Logistics Partners ("Partner") as their authorized Independent Logistics Partner. This agreement authorizes the Partner to provide professional dispatching services, including negotiating freight, executing Broker-Carrier agreements, and signing Rate Confirmations in the Carrier’s name.

Dispatch Service Pricing Structure

All partnerships operate on a Flat Rate billing model from Load 1. To protect our dispatchers' time and ensure mutual commitment, we do not offer free upfront service. Instead, introductory savings are earned and applied as a Loyalty Credit on your future invoices.

Standard Flat Rate Tier

  • Established Authorities: $400 per week.

  • New Authorities (<6 Months Active): $500 per week.

    Note: New Authorities require specialized, high-effort lane sourcing. After 60 days of consistent performance, this rate automatically drops to the standard $400 flat rate.

Partnership Categories & Onboarding

1. Standard / Expert Authorities

  • Ongoing Rate: Billed at the standard $400 flat rate from week one.

  • The Loyalty Credit: Upon the successful completion of Day 30, your account will be issued a $150 credit toward your next invoice as a thank you for partnering with us.

2. Re-Entry Authority (<3 Violations)

  • Days 1–14 (Probationary Period): Billed at $500 per week, focusing on Western corridor compliance.

  • Day 15+: Automatic drop to the standard $400 flat rate.

  • The Loyalty Credit: Upon reaching Day 30 with zero new violations, your account will be issued a $150 credit.

3. New Authority (<6 Months Active)

  • Days 1–60 (Safety Fast-Track): Billed at $500 per week, prioritizing high-efficiency regional lanes.

  • The Rate Drop: Subject to drop much sooner than 60 days for exemplary partners. If you demonstrate outstanding safety, seamless communication, and consistent tracking, we will fast-track your transition to the standard $400 flat rate.

  • The Loyalty Credit: Upon reaching Day 60 of active partnership, your account will be issued a $150 credit.

The Rescue Program

We know mechanical failures are incredibly expensive and can instantly halt your cash flow. This program offers immediate financial relief to get you back on your feet, while protecting our dispatchers from carriers who abuse the system and run.

  • Immediate Breakdown Relief:

    • First 2 Loads Post-Repair: Billed at a heavily discounted rate of $100 per load (giving you immediate breathing room to recover from the repair cost).

    • Next 3 Loads: Billed at a temporary rate of $500 per week while we aggressively source premium freight to stabilize your revenue and rebuild your regional rotation.

    • Return to Standard: After those 5 recovery loads, your account automatically returns to your standard $400 flat rate.

  • Long-Term Partner Benefit:

    • Established partners (minimum 90 days active) who suffer a recurring, major mechanical failure will receive two (2) completely zero-fee loads upfront to get rolling again, followed by the temporary 3-load recovery rate of $500 before returning to standard pricing.

Qualification Requirement: To prevent fraud, you must submit a verified, paid invoice or receipt from the licensed repair facility (estimates are not accepted). The document must clearly display the business name, parts/labor breakdown, and a valid phone number.

4. BILLING STRUCTURE, RENEWAL, & TERMINATION

  • Automatic Recurring Billing: Carrier acknowledges and agrees that all dispatch partnerships are established on an automatic, recurring weekly flat-rate billing cycle starting from the assignment of the first load. There are no trial periods or temporary free service windows. Billing occurs weekly until formal termination is initiated by either party.

  • Termination Notice Requirement: To ensure the orderly transition of scheduled freight and prevent operational disruptions, either party may terminate this agreement at any time by providing a minimum of seven (7) days written notice via email.

  • Protection of Booked Freight: In the event that termination notice is given, Carrier remains contractually obligated to honor, transport, and safely deliver all freight/loads that have already been booked and accepted by the Carrier prior to the termination notice. Failure to honor booked freight upon termination will result in immediate forfeiture of any accumulated Loyalty Credits and may result in legal action for lost broker revenue or structural damages to our brokerage relationships.

  • Professional Conduct: This structured termination protocol is strictly enforced to maintain professional business standards, prevent immediate/unannounced abandonment of active lanes, and allow our dispatch team to focus entirely on active, long-term fleet growth.

The RouteHaul 4-Point Load Integrity Protocol

We ask our partners to adhere to a simple, high-standard communication and safety protocol. This ensures that every load is protected and every broker remains eager to work with your company.

1. Securement & Seal Verification

Before rolling, we require photo verification of your load securement (straps/chains/dunnage) or your trailer seal. This protects you from false claims and ensures the cargo is safe for the Western grades.

2. Digital Paperwork Submission

Consistency is key to getting paid fast. We require a clear, digital copy of your signed Bill of Lading (BOL) at pickup and delivery. This allows us to handle your invoicing and paperwork while you focus on the road.

3. Check-Call Compliance

We respect your focus, but communication is our currency. Our partners agree to provide "Loaded," "En Route," and "Empty" status updates. This proactive approach allows us to fight for detention or layover pay before you even leave the facility.

4. Route Integrity (Grade-Adjusted)

Our Grade-Adjusted Routing is designed to save your fuel and equipment. Following the optimized Western corridor path we provide ensures you aren't putting unnecessary stress on your truck—and that you're hitting your delivery windows safely.
