1. THE ROLE OF THE DISPATCHER
Routehaul High Desert Logistics Partners ("Routehaul") operates as a professional logistics management firm. Routehaul is not a motor carrier, freight forwarder, or equipment owner. Routehaul acts solely as an Authorized Agent and Logistics Manager for the Carrier. By using our services, the Carrier grants Routehaul a Limited Power of Attorney to negotiate freight, execute Broker-Carrier agreements, and sign Rate Confirmations in the Carrier’s name.
To align these terms and conditions with your new flat-rate model, elimination of percentages, Option A loyalty credit strategy, and your updated Rescue Program, sections 2 and 4 need a complete overhaul. I have also tightened up the language across all sections to maximize your protection against contract skippers.

2. FLAT-RATE BILLING, AUTOMATIC RENEWAL, & TERMINATION
Immediate Flat-Rate Structure: All new partnerships operate on a binding, recurring weekly flat-rate billing cycle starting from the assignment of the first load. There are no free upfront trials or percentage-based commissions.
Automatic Weekly Renewal: Billing occurs automatically every week. To ensure an orderly transition of scheduled freight and prevent immediate abandonment of active lanes, either party may terminate this agreement at any time by providing a minimum of seven (7) days written notice via email.
Protection of Booked Freight: In the event that termination notice is given, the Carrier remains contractually obligated to honor, transport, and safely deliver all loads that have already been booked and accepted prior to the termination notice. Failure to honor booked freight upon termination will result in the immediate forfeiture of any pending Loyalty Credits and may result in legal action for damages to Routehaul's broker relationships.
3. THE LOAD INTEGRITY PROTOCOL
To protect the Carrier’s authority and Routehaul’s national reputation, the Carrier agrees to strictly adhere to the 4-Point Photo Verification Protocol:
Secured: Photo of cargo braced/strapped before closing doors.
Locked: Photo of seal/padlock fully visible at origin.
Arrival: Photo of intact seal/lock at destination prior to opening doors.
Unload: Photo of freight status inside the trailer before removal.
Failure to provide these photos constitutes a material breach of protocol and may result in the immediate suspension or termination of dispatch service.
4. THE "RESCUE" PROGRAM TERMS
To support our partners through costly mechanical failures without exposing Routehaul to contract cancellation risk, carriers seeking breakdown relief must strictly comply with the following:
Rate Adjustment: Approved carriers will receive an immediate cash-flow relief rate of $100 per load for the first two (2) loads post-repair, followed by a temporary recovery rate of $500 per week for the next two (2) weeks while we aggressively stabilize your revenue, before automatically returning to the standard $400 flat rate.
Verification Requirement: Carriers must provide a finalized, paid, itemized Repair Invoice or Towing Receipt. Estimates, quotes, or pro-forma invoices will not be accepted. The document must clearly display the licensed repair facility’s business name, parts/labor breakdown, and a valid phone number. Relief is a professional courtesy and is subject to full verification by Routehaul.
5. OPERATIONAL LIABILITY & INDEMNIFICATION
The Carrier maintains 100% sole responsibility for the safe operation of their equipment, driver conduct, and strict adherence to all FMCSA, DOT, state, and federal regulations.
Insurance Maintenance: Carrier must maintain active Cargo and Auto Liability insurance meeting or exceeding industry standards at all times. Routehaul must be notified immediately of any policy changes or lapses.
Hold Harmless: Carrier explicitly agrees to indemnify, defend, and hold Routehaul harmless from any and all claims, accidents, delays, fines, cargo losses, or property damages arising during the transport of dispatched freight.
Vetting Rights: Routehaul reserves the absolute right to decline or terminate service to any Carrier with more than three (3) active safety violations, or any history of DUI/DWI.
6. NON-SOLICITATION
The Carrier explicitly agrees not to back-solicit, directly contact, or accept freight directly from any Shipper, Broker, or logistics intermediary first introduced to the Carrier by Routehaul for a period of twelve (12) months following the termination of this service agreement. Breach of this clause will result in legal action for tortious interference and lost revenue.
7. GOVERNING LAW & JURISDICTION
These terms and conditions are governed by and construed in accordance with the laws of the State of California. Any legal disputes, claims, or lawsuits arising from or relating to this agreement that cannot be resolved through good-faith negotiation shall be settled exclusively in the state or federal courts located within the jurisdiction of San Bernardino County, CA.
